Terms of Service

1. Acceptance of Terms

By accessing or using the AI Nexus platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms. If you do not agree, do not use the Service.

2. Description of Service

AI Nexus provides an AI-powered sales training and performance platform for HVAC professionals, including but not limited to: AI voice roleplay simulations, call scoring and analytics, CRM and pipeline tools, follow-up automation, review management, payments, campaigns, customer reactivation, and coaching features. Feature availability varies by plan. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Accounts & Access

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized access or security breach.
• You may not share, sell, or transfer your account to another party.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Attempt to reverse engineer, decompile, or extract the source code of our platform
• Reproduce, resell, or redistribute the Service without our written permission
• Upload or transmit malicious code, viruses, or harmful content
• Use the Service to harass, abuse, or harm others
• Scrape, crawl, or systematically extract data from the platform
• Misrepresent your identity or affiliation

5. Subscription & Billing

• Subscription fees are billed in advance on a monthly or annual basis as selected at signup.
• Plan features, usage limits, onboarding scope, and implementation fees vary by package. AI roleplay sessions, scored calls, users, and automation features are subject to the limits of your selected plan.
• SMS, calling, carrier, and high-volume usage may be billed separately where applicable, depending on your plan and usage level.
• Setup and onboarding fees may apply depending on plan and scope.
• All fees are non-refundable except as required by law or as explicitly stated in our refund policy.
• We reserve the right to change pricing with 30 days' notice. Continued use after the notice period constitutes acceptance of new pricing.
• Failure to pay may result in suspension or termination of your account.
• You are responsible for any applicable taxes.

6. Intellectual Property

All content, features, and functionality of the AI Nexus platform—including but not limited to software, algorithms, AI models, text, graphics, and design—are the exclusive property of AI Nexus and are protected by intellectual property laws.

You retain ownership of any data you input into the platform. By using the Service, you grant AI Nexus a limited license to process your data solely to provide and improve the Service.

8. Limitation of Liability

To the maximum extent permitted by law, AI Nexus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising from your use of or inability to use the Service.

Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid to AI Nexus in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless AI Nexus and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

10. TCPA Compliance & Communications

By providing your phone number and consenting to receive communications, you are explicitly authorizing AI Nexus to contact you via SMS, phone calls, and emails regarding demos, services, updates, and promotional materials. This consent is given in accordance with the Telephone Consumer Protection Act (TCPA) and related regulations.

• SMS & Call Communications: You authorize AI Nexus to contact you at the phone number provided using automated technology, pre-recorded messages, and artificial intelligence voice systems.
• Standard Rates Apply: Message and data rates from your wireless carrier may apply.
• Opt-Out Rights: You may withdraw consent and opt out at any time by replying "STOP" to any SMS, stating your opt-out preference in writing, or contacting us at legal@ainexusai.net.
• No Texting Between 9 PM–8 AM: We will not send promotional SMS messages outside business hours (8 AM–9 PM in the recipient's local timezone) without explicit approval.
• Do Not Call List: We respect the National Do Not Call Registry and will honor opt-out requests within 30 days.

11. Termination

Either party may terminate these Terms at any time. We reserve the right to suspend or terminate your account immediately if you violate these Terms. Upon termination, your right to use the Service ceases. Data may be retained for up to 90 days post-termination before deletion, except where legally required to retain longer.

12. Governing Law

These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Tampa, Florida. The parties submit to the jurisdiction of the state and federal courts located in Hillsborough County, Florida for any matters not subject to arbitration.

13. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes via email or platform notification. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
